Joint Ventures Involving Tax-Exempt Organizations, 2nd edition

By Michael Jansen

Is your nonprofit organization considering a partnership with a for-profit entity? If so, you are not alone. Many nonprofits have entered into joint partnerships with other nonprofits or with for-profit entities as a way of increasing revenues beyond contributions. While joint ventures allow nonprofits to utilize the resources of other organizations in the pursuit of charitable goals, the Internal Revenue Service has established comprehensive requirements for these arrangements. In Joint Ventures Involving Tax-Exempt Organizations, Michael I. Sanders thoroughly examines these arrangements, and explores the liability of, and consequences to, nonprofit organizations, that enter into these partnerships, either directly or indirectly.

According to Sanders, this second edition, much more extensive than the first, was needed as a result of many legal developments affecting the joint venture format, and the explosion of the use of the format among nonprofit organizations. Sanders has served as a member of the IRS Commissioner's exempt organizations advisory group, and taught tax treatment of charities and other nonprofit organizations at Georgetown University Law School, and income taxation partnerships at George Washington University Law School. Sanders' knowledge of the field is clear, and even though the text is packed with tax terminology, the content is comprehensible.

Though not immediately apparent, this edition is divided into three key sections, the first of which discusses the fundamentals of exempt organizations, and partnership taxation. The second section examines more thoroughly the convergence of these two areas, providing a general overview of joint ventures as well as detailed information on topics such as unrelated business tax, debt-financed income rules, and leasing rules. The final section concentrates on specific types of joint ventures from business leagues to international joint ventures, and provides analysis of each type.

Joint Ventures Involving Tax-Exempt Organizations is a comprehensive reference work. It was developed for use by attorneys and accountants, nonprofit organization executives, and students of the field, and is indisputably technical in nature. Despite providing numerous examples to help illustrate and explain the regulations of the Internal Revenue Code on joint ventures, this work is not intended for a general audience, and demands the reader have either detailed knowledge of the subject matter, or have remarkably specific information needs. Readers, well versed with the terminology of the field, will find the basic format easy to navigate, while novices will have to rely on the highly structured table of contents, and general index to properly meet their needs.
